Terms & Conditions of Commercial Supply
Governing International Export Transactions
1. General Principle
All quotations, proforma invoices, sales confirmations, and container supply contracts executed by Nagwade Global are governed by these Terms of Commercial Supply, subject to specific commercial terms agreed upon in signed proforma invoices.
2. Quotations & Validity
Due to agricultural crop seasonality, foreign exchange dynamics, and ocean container bunker adjustment factors (BAF), written commercial quotations remain valid for 7 calendar days from issuance unless explicitly stipulated otherwise. Binding contracts are formed exclusively upon mutual execution of a formal Proforma Invoice / Purchase Order.
3. Delivery & Incoterms® 2020
Shipments are executed under International Commercial Terms (Incoterms® 2020) as agreed in the commercial contract:
- FOB (Free on Board): Risk passes to the buyer once goods pass over the vessel's rail at the loading seaport (JNPT Nhava Sheva or Mundra Seaport). Ocean freight, destination customs clearance, and marine cargo insurance remain the buyer's responsibility.
- CIF (Cost, Insurance & Freight): Nagwade Global arranges and pays for ocean container transit and procures marine cargo insurance (Institute Cargo Clauses A). Risk of transit damage transfers to the buyer upon bill of lading issuance, with claims covered under the cargo insurance certificate.
4. Quality, Specifications & Acceptance
Every export container is accompanied by a batch Certificate of Analysis (COA) reflecting testing conducted prior to container stuffing. Buyers are entitled to conduct independent third-party pre-shipment inspections (e.g., SGS, Bureau Veritas, Intertek) at factory loading or port terminal at buyer's cost.
5. Payment Terms
Standard international commercial settlement is conducted through:
- Irrevocable Letter of Credit (L/C at Sight): Opened through a first-class international bank, confirmed if required, allowing standard documentation presentation.
- Telegraphic Transfer (T/T): Standard 30% advance commercial deposit upon order confirmation, with 70% balance payable against clean scanned copies of original shipping documents (Bill of Lading, COA, Phytosanitary Certificate).
6. Force Majeure
Neither party shall be held liable for delivery delays or failures arising from acts of God, maritime strikes, port blockades, severe weather disrupting ocean routes, wars, embargoes, or statutory export restrictions imposed by the government of India.
7. Governing Law & Dispute Resolution
Unless agreed otherwise in writing, commercial transactions are interpreted under the rules of arbitration of the International Chamber of Commerce (ICC), seated in Mumbai, India.
